1. Agreement to Terms

These Terms of Service (“Terms”) govern access to and use of the DoctorFare platform (the “Service”), provided by [DoctorFare Legal Entity Name] (“DoctorFare,” “we,” “us”). By accessing or using the Service, you agree to be bound by these Terms.

2. Who May Use the Service

The Service is intended for use by:

  • Healthcare Providers (imaging centers, medical offices, specialist practices, care networks) and their authorized staff
  • Patients of those Healthcare Providers, accessing patient-facing features (self-service booking, chat, records access)

Users must be at least 18 years old, or accessing the Service on behalf of a minor patient with appropriate authorization.

3. Accounts and Access

  • Healthcare Provider Customers are responsible for the accuracy of information provided and for maintaining the confidentiality of staff login credentials
  • Access levels (e.g., PCP, specialist, office staff, patient) determine what information and functionality a user can see, consistent with role-based permissions

4. Use of the Service

You agree to use the Service only for lawful purposes related to patient referral, scheduling, and care coordination, and agree not to:

  • Upload false, misleading, or unauthorized patient information
  • Attempt to access accounts, records, or data you are not authorized to view
  • Interfere with the security or normal operation of the Service
  • Use the Service in a manner that violates HIPAA, state health privacy law, or other applicable regulations

5. Healthcare Provider Responsibilities

Healthcare Provider Customers are responsible for:

  • Ensuring they have appropriate patient consent and legal basis to submit patient information to the Service
  • Maintaining their own compliance obligations as a Covered Entity (or Business Associate, as applicable) under HIPAA
  • Accuracy of referral, appointment, and clinical information entered into the platform

6. Fees and Payment

Fees for the Service are set forth in the applicable order form or Master Services Agreement between DoctorFare and the Healthcare Provider Customer.

7. Intellectual Property

The Service, including its software, design, and content, is owned by DoctorFare and protected by intellectual property laws. Customers retain ownership of the patient and practice data they submit to the Service.

8. Data Ownership and Use

As between DoctorFare and the Healthcare Provider Customer, the Healthcare Provider retains ownership of patient data submitted to the Service. DoctorFare’s use of such data is governed by the Business Associate Agreement and Privacy Policy.

9. Third-Party Integrations

The Service may integrate with third-party systems, including EMR/EHR platforms and eFax delivery services. DoctorFare is not responsible for the availability or performance of third-party systems outside its control.

10. Service Availability

DoctorFare will use commercially reasonable efforts to maintain Service availability but does not guarantee uninterrupted access. Scheduled maintenance and unplanned outages may occur.

11. Disclaimers

The Service is a coordination and administrative tool. DoctorFare does not provide medical advice, diagnosis, or treatment, and is not a substitute for professional clinical judgment.

12. Limitation of Liability

To the maximum extent permitted by law, DoctorFare’s total liability arising out of or related to the Service shall not exceed the fees paid by the Healthcare Provider Customer in the twelve (12) months preceding the claim. DoctorFare shall not be liable for indirect, incidental, or consequential damages.

13. Indemnification

Each party agrees to indemnify and hold the other harmless from claims arising out of its own breach of these Terms, applicable law, or its own negligent or wrongful acts in connection with the Service.

14. Termination

Either party may terminate access to the Service as set forth in the applicable Master Services Agreement. Upon termination, DoctorFare will handle data return or deletion consistent with the Business Associate Agreement and applicable law.

15. Governing Law

These Terms are governed by the laws of the United States and the state in which DoctorFare is incorporated, without regard to conflict of law principles. As DoctorFare expands into additional markets, region-specific terms will be made available to Healthcare Provider Customers in those regions.

16. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms.
